Chief Compliance Officers

Pohlmann

Siemens, the German engineering giant that stunned Europe this year with a massive kickback scandal, has created a new position to oversee all legal and compliance matters. Peter Solmssen will hold the job, with the title of general counsel; he will also serve on Siemen’s management board. The company also appointed Andreas Pohlmann chief compliance officer; he will report directly to the CEO.

In a related move, Siemens will also consolidate all its auditing functions into one Corporate Finance Audit unit. Hans Winters will head that department as chief audit officer, and report to the CFO. Winters comes to the company from PricewaterhouseCoopers, where he was a specialist in international compliance and internal control.

Kimberly-Clark has named Thomas Mielke senior vice president of law, government affairs and chief compliance officer. Mielke succeeds Ronald McCray, who recently resigned to join Nike as vice president and chief administrative officer. Mielke joined Kimberly-Clark in 1988, most recently serving as vice president and chief counsel for the company’s North Atlantic consumer businesses.

Mylan Laboratories has appointed Fabiana Lacerca senior vice president and chief compliance officer. Lacerca joins Mylan from Bristol-Meyers Squibb, where she was director of compliance for Latin America, Canada, and Puerto Rico.

General Counsels, Corporate Secretaries

Cochran

Antivirus software provider McAfee has hired Mark Cochran as general counsel. Cochran joins McAfee from Hyperion, where he served as vice president, general counsel, and corporate secretary since January 2005. Cochran replaces former McAfee General Counsel Kent Roberts, who resigned last year amid charges related to options backdating and is waiting to stand trial in February.

$763 million Brush Engineered Materials has hired Gregory Chemnitz to serve as vice president and general counsel. He replaces John Pallam, who has been appointed vice president and general counsel of Brush Wellman, a subsidiary. Chemnitz joins Brush Engineered Materials from Avery Dennison, where he had been assistant general counsel of the Americas.

Homebuilder KB Home has hired Wendy Shiba as executive vice president, general counsel, and corporate secretary. Shiba will be responsible for all legal activities across the company’s operations in 15 states. Most recently, Shiba served as senior vice president, chief legal officer, and secretary of PolyOne.

Rackable Systems, a maker of servers and storage products for large-scale data centers, has appointed Maurice Leibenstern general counsel and corporate secretary. Leibenstern brings 20 years of legal experience, focused in the technology industry. Most recently, he was chief legal counsel for worldwide sales at CA and served as a senior vice president and member of the company’s senior leadership team.

Chief Accounting Officers, Controllers

$6 billion Allied Waste Industries has named Denise Danner senior vice president, controller, and chief accounting officer. Danner previously served as vice president and controller for Phelps Dodge.

Integrated Healthcare Holdings has appointed Jeremiah Kanaly to the new position of chief accounting officer and treasurer. Kanaly brings more than 30 years of financial management experience. Most recently, he served as a consultant with Resources Global and as chief financial officer of Saleen.

The Phoenix Cos. has announced that Katherine Cody will step down from her position as chief accounting officer to lead the company’s new alternative products unit. Chief Financial Officer Michael Haylon will fill her position on an interim basis.

Boards of Directors

Alvarez

Discount retailer TJX has elected José Alvarez and Alan Bennett to its board of directors. Alvarez, who currently serves as CEO of food retailer Stop & Shop, has also been named to the executive compensation committee. Bennett, who recently retired as chief financial officer of Aetna, has been named to the finance committee. The appointments come on the heels of a massive data privacy breach the company disclosed earlier this year, where hackers gained access to the personal data of at least 45.7 million credit and debit card holders.

The board of directors of 3Com has elected Gary DiCamillo to serve on the nominating and governance committee and Dominique Trempont to serve on the compensation committee. DiCamillo and Trempont will replace Paul Yovovich, who has decided not to stand for re-election. In addition, the board has elected Trempont to chair the audit and finance committee, replacing James Long, who will now chair the nominating and governance committee.

Berkeley

ACI Worldwide has added Alfred Berkeley and Jan Suwinski to its board of directors. Berkeley, chairman and chief executive officer at Pipeline Trading Systems, will serve on the audit committee. Suwinski, a professor of business operations at Cornell University, will serve on the compensation committee.

Deloitte Financial Advisory Services has named Gregory Swinehart national leader of its forensic and dispute services practice. Most recently, Swinehart served as Deloitte FAS regional managing partner for the Northeast region. Swinehart succeeds Bill O’Connell, who is pursuing other projects in the coming year.
