Gillan

The Public Company Accounting Oversight Board has announced that Kayla Gillan, a founding board member of the PCAOB, will leave the Board by the end of January. Gillan spearheaded the Board’s small business program, Forum on Auditing in the Small Business Environment. Prior to her appointment to the PCAOB, Gillan spent 16 years at the California Public Employees’ Retirement System, most recently serving as general counsel.

Goldschmid

The Center for Audit Quality announced its first public board members: Harvey Goldschmid, former commissioner for the Securities and Exchanges Commission; Michele Hooper, co-founder of the Directors’ Council; and Lynn Paine, professor of business administration at the Harvard School of Business.

Chief Accounting Officers, Controllers

$2.7 billion Hanover Insurance Group has announced the resignation of John Leahy as executive vice president, chief financial officer, chief accounting officer, and assistant treasurer. The company has appointed Warren Barnes as acting chief accounting officer. Barnes joined the company in 1993 and has been vice president and corporate controller since 1997.

Cooper Industries has appointed Rick Johnson as controller and chief accounting officer. Johnson has been vice president for Cooper Crouse-Hinds since joining the company in 2005. He replaces Jeffrey Levos, who is retiring.

$3.6 billion Broadcom has named Bret Johnsen corporate controller and chief accounting officer. Johnsen succeeds Bruce Kiddoo, who resigned to take the CFO job at Maxim Integrated Products. Johnsen joined Broadcom in October 1999. Most recently he served as senior director of finance for the Wireless Connectivity Group.

The $2.2 billion McClatchy Co. newspaper chain has announced the resignation of Larry Edgar as controller. He is leaving to become managing partner of Edgar & Associates, a family owned business that provides tax and accounting services.

Chief Compliance Officers, Risk Officers

O’Meara

The global investment bank Lehman Brothers has appointed Chris O’Meara global head of risk management. O’Meara, who joined Lehman Brothers in 1994, most recently served as chief financial officer of the firm since December 2004.

Commercial aircraft leasing firm Aircastle has announced that Kevin Fackrell will resign as chief risk officer for personal reasons. CEO Ron Wainshal will assume the role until a replacement is hired.

FirstEnergy has named William Byrd chief risk officer. Prior to joining FirstEnergy, Byrd served as business analyst of Ohio Edison Co. Byrd replaces Kathryn Dindo, who is retiring.

General Counsels, Corporate Secretaries

$1.1 billion Tidewater has hired Bruce Lundstrom as general counsel and corporate secretary. Lundstrom brings 10 years of experience within the oil and gas industry. Most recently, he served as senior vice president and general counsel at Prisma Energy International.

Boards of Directors

Dillon

The board of directors for retail giant Target has elected Mary Dillon and Derica Rice as directors. Dillon is executive vice president and global chief marketing officer of McDonald’s; Rice is senior vice president and chief financial officer of Eli Lilly and Co. Both Dillon and Rice will also serve on the executive and corporate governance committees.

$1.6 billion ExpressJet Holdings has elected Patrick Kelly to fill a vacancy on its board of directors. Kelly is currently the chief financial officer of software company Vignette. Kelly has also been elected to the audit committee and the nominating and corporate governance committee.

Chase Cooper, a maker of risk and compliance software, has hired Nick Gibson as director of compliance solutions. Gibson brings more than 20 years of regulatory and compliance experience. He comes to Chase Cooper from ABN AMRO, one of the world’s largest banking groups.

AXS-One, a maker of records compliance management software, has named Phil Rugani executive vice president of field operations. Rugani comes to AXS-One from FileNet, a content and process management solution provider, where he served as senior vice president of Americas, and worldwide channel operations. FileNet was acquired by IBM in November 2006.
