Nazareth

Annette Nazareth has announced her intention to resign as a commissioner at the Securities and Exchange Commission to return to the private sector. Nazareth has given no departure date; her term formally expired in June, and commissioners are allowed to remain in their seats 18 months beyond the end of their term or until the president names a replacement. The Commission is already down one commissioner, since Roel Campos, a Democrat like Nazareth, left last month.

General Counsels, Corporate Secretaries

Rosenberg

Donald Rosenberg is leaving his job as general counsel and corporate secretary at $19.3 billion Apple after just 10 months with the company, to join wireless communications manufacturer Qualcomm. Both companies are currently in legal hot water as Apple faces a battle over options backdating, and Qualcomm continues to face a string of legal defeats in a growing patent infringement battle with Broadcom. To replace Rosenberg, Apple has hired Daniel Cooperman, formerly general counsel at software giant Oracle.

Airgas has hired Robert Young as senior vice president and general counsel. Young joins Airgas from McCausland Keen & Buckman, where he was president and shareholder of the Radnor, Penn.-based law firm. He will replace Dean Bertolino, who has decided to leave the company.

$8.8 billion Air Products has promoted Stephen Jones to the role of general counsel and secretary and Scott Crocco to the role of chief accounting officer. Crocco will continue to serve as corporate controller with responsibility for global accounting and transaction services and corporate decision support, a position he has held since November 2006. Jones replaces Douglas Brown, who is retiring.

$3.8 billion Insight Enterprises has appointed Steven Andrews as general counsel. Andrews brings with him more than 20 years of experience in corporate law. Prior to joining Insight, Andrews served as senior vice president of law and human resources for ShopKo Stores.

$11.9 billion Marsh & McLennan Cos. has named James McNasby general counsel of Marsh MMC’s insurance brokerage and risk advisory subsidiary. McNasby was most recently senior vice president of North America Legal for Kraft Foods, the chief lawyer for Kraft’s $22.5 billion North American business. McNasby succeeds Richard Sullivan, who was appointed a judge on the U.S. District Court of the Southern District of New York earlier this year.

Brelsford

SanDisk Corp., the world’s largest supplier of flash storage card products, announced the appointment of Jim Brelsford as general counsel and corporate secretary. Before joining SanDisk, Brelsford was general gounsel for Hands-On-Mobile.

Chief Accounting Officers, Controllers

Fluor Corp. has announced the retirement of Victor Prechtl as vice president and controller. He will be replaced by Gary Smalley, who has been the company’s vice president of internal audit since September 2002.

$1.2 billion A. M. Castle & Co. has appointed Patrick Anderson corporate controller and chief accounting officer. Prior to joining A.M. Castle, Anderson was with Deloitte & Touche since 1994, most recently serving as a senior manager.

COMSYS IT Partners has named Amy Bobbitt to the newly created position of senior vice president and chief accounting officer. Bobbitt joined the company as vice president of finance in June 2006. Previously, Bobbitt was employed by Amkor Technology, where she served as vice president and corporate controller.

Boards of Directors

Staples has elected Justin King and Robert Sulentic to its board of directors. Both King and Sulentic will serve on the audit committee.

Iomega Corp. has announced the resignation of Bruce Darling from his position as a member of the board of directors, as well as from its compensation committee and ethics and compliance Committee. At this time, the company has not replaced Darling, who left for personal reasons, with a new director.

$4.5 billion Chiquita Brands International has elected Howard Barker to its board of directors and as a member of the audit committee. Barker was employed by KPMG from 1972 until his retirement 30 years later and served as a partner at the auditing firm since 1982.

Nesmith

Polymer Group has appointed Wade Nesmith to the board of directors. Nesmith replaces Mark Patterson, who has resigned. Nesmith also replaces William Hewitt as a member of the audit committee. Nesmith is currently associate counsel with Lang Michener, where he specializes in corporate governance and regulatory matters.

From the Vendors

H5, a maker of information risk management and automated document analysis and services for the legal industry, announced that Rick Wolf has joined its strategic advisory board. Wolf joins H5 after 10 years at the now-dismantled Cendant Corp., where he served as senior vice president in charge of global compliance.

Chicago-based PalmTree, a maker of compliance software, has announced that it will change the name of its Web-based e-SOX Enterprise solution to e-Governance+. The change reflects the growing number of corporate clients using the software for compliance initiatives outside of Sarbanes-Oxley, the company says.
