Carnall

The Securities and Exchange Commission has named Brian Breheny deputy director for legal and regulatory policy in the agency’s Division of Corporation Finance. Breheny has served as chief of the office of mergers and acquisitions in Corporation Finance since July 2003. In addition, the SEC has named Wayne Carnall chief accountant for Corporation Finance. Carnall had been a partner at PricewaterhouseCoopers since 1997.

The NYSE Euronext board of directors has appointed Duncan Niederauer chief executive officer to fill the position vacated by John Thain, who has accepted the role of chairman and chief executive officer at Merrill Lynch. Niederauer, who joined NYSE Euronext as president and co-chief operating officer in April, will become a member of its board of directors. He is also a member of the NYSE Euronext management committee.

Accounting Officers and Controllers

$6.5 billion Owens Corning has appointed Mark Mayer chief accounting officer. Mayer was previously the company’s vice president of accounting and reporting since January 2003. Mayer succeeds Ronald Ranallo, who is leaving the company to pursue outside opportunities.

Albany International has announced the retirement of Richard Carlstrom as controller and chief accounting officer, effective in March 2008. David Pawlick, who currently serves as director of corporate accounting, will assume Carlstrom’s roles.

$3.6 billion United Rentals has announced the resignation of Todd Helvie as senior vice president and controller; he is leaving to take a senior position with another company. Helvie had been with United Rentals since September 2006, and was brought in after the company ousted several other employees for questionable accounting policies.

$2 billion CF Industries Holdings has hired Richard Hoker as vice president and corporate controller. Hoker comes to CF Industries Holdings after 11 years with Sara Lee Corp., where he most recently served as controller and chief accounting officer. He succeeds Robert Webb, who retired earlier this year.

Chief Compliance Officers, Risk Officers

$2.3 billion Moody’s Investor Service has announced the resignation of Jeanne Dering from her position as head of global regulatory affairs and compliance. She departs this month.

Bolt Technology, based in Norwalk, Conn., has named William Andrews vice president of administration and compliance and corporate secretary. Andrews has been with Bolt Technology since September.

General Counsels, Corporate Secretaries

Bailey

Bausch & Lomb has announced the retirement of Robert Stiles as senior vice president and general counsel after more than 25 years with the company. Robert Bailey, who most recently served as vice president, assistant general counsel, and assistant secretary, will replace Stiles.

Southfield, Mich.-based Lear has hired Terrence Larkin as general counsel and corporate secretary. Larkin had been a partner at Detroit-based Bodman since 1986. Also, Lear promoted Wendy Foss to corporate controller in addition to her existing position as vice president and chief compliance officer.

On the Board

Ogata

The board of directors of $1.5 billion Career Education Corp. has announced the departure of Keith Ogata as chairman of the audit committee and a member of the compliance committee “due to increasing time commitments associated with new business interests and activities.” Audit committee member Dennis Chookaszian will take on Ogata’s position as chairman, while director Tom Lally will join the audit committee as a member.

The board of directors of D.R. Horton has elected Bob Scott as an independent director. Scott has also been appointed as a member of the audit, compensation, and nominating and governance committees. Scott is retired from his most recent position as chief financial officer and chief operating officer of Fort Worth, Texas-based Summit Bancshares, a position he held from 1994 to 2006.

Beck

Insurance and risk management firm, Hilb Rogal & Hobbs Company, based in Richmond, Va., has appointed Julie Beck to its board of directors. Beck will serve as a member of the audit and corporate affairs committees. Beck is the executive vice president and chief financial officer of the Yardley, Penn.-based Journal Register Co.

$2 billion Applera Corp. elected George “Rick” Adam to join its board of directors. Adam will also serve as a member of the audit and finance committees. Adam is currently chairman of Recondo Technology, a private health care software development company. His appointment expands the size of the board to 11 members.

Deloitte Financial Advisory Services has named Gary Keilty a principal in its forensic and dispute services health care and life sciences team. Keilty has more than 20 years health care consulting experience. Most recently, he was a senior leader in the health care practice of a specialty consulting firm.
