From the Regulators

The Securities and Exchange Commission has named Thomas Kim chief counsel and an associate director in the agency’s Division of Corporation Finance. Kim previously served as counsel to SEC Chairman Christopher Cox since 2006, having joined the Commission as counselor to the general counsel.

Nasdq has appointed Jeff Singer senior vice president and head of Nasdaq International. Singer will also spearhead the international sales efforts for the PORTAL Alliance, a U.S. institutional market for securities not registered with the SEC. Eric Bernbach will assume Singer’s previous role as vice president of the eastern region of the United States, overseeing relations with the exchange’s listed companies.

Accounting Officers and Controllers

McClatchy Co., a $1.7 billion newspaper chain based in Sacramento, Calif., has appointed Hai Nguyen controller and chief accounting officer effective February 2008. Nguyen is currently internal audit director for the company. He will replace Larry Edgar, who is leaving to become managing partner of Edgar & Associates, a family-owned business.

Blegen

Shutterfly, an Internet-based social expression and personal publishing service, has named Bernie Blegen vice president and corporate controller. Blegen has more than 25 years of experience in finance within the semiconductor, software, and communication industries. Most recently, he served as the vice president of finance and corporate controller for Credence Systems.

$1.6 billion Belo has named Carey Hendrickson senior vice president and chief accounting officer. Hendrickson began his career with Belo in 1992 and previously served as vice president of human resources, a position he assumed in May 2007.

Chief Compliance, Risk Officers

$36 billion GMAC Financial Services, based in New York, has appointed Sam Ramsey to the newly created role of chief risk officer. David Walker, who heads GMAC’s global borrowings segment, will take over Ramsey’s previous role as treasurer.

Scottish Re, based in Bermuda, has named Samir Shah executive vice president and chief risk officer. Shah comes to Scottish Re after serving 10 years as a principal with Towers Perrin.

$751 million Depository Trust & Clearing Corp. has appointed Mihal Nahari as chief compliance officer. Nahari has nearly 20 years’ experience in the financial services industry on a range of domestic and international legal, compliance, and regulatory risk issues. Most recently, she was a partner with the New York law firm Bressler, Amery & Ross.

General Counsels, Corporate Secretaries

$3.5 billion Chemtura Corp. has promoted Lynn Schefsky to corporate secretary in addition to his current positions as senior vice president and general counsel, which he has held since 2004. Schefsky replaces Barry Shainman, who has retired after 18 years with the company.

$1.4 billion Tronox has announced the retirement of Roger Addison as general counsel and corporate secretary after a 31-year career with the company. Michael Foster, managing counsel, will serve as interim general counsel until a replacement has been found.

$614 million RehabCare Group has named Patricia Williams senior vice president, general counsel, and corporate secretary. Williams’ most recent position was general counsel and corporate secretary for St. Louis-based Thermadyne Holdings.

On the Board

Reese

$1.2 billion Charles River Laboratories has appointed Richard Reese to its board of directors. In addition, he has been appointed to the corporate governance and nominating committee. Reese is chairman and chief executive at Iron Mountain.

$2.6 billion Juniper Networks has elected Mary Cranston to its board of directors; she will serve on the nominating and corporate governance committee. Cranston brings more than 30 years of management and corporate governance experience to the board. She most recently served as senior partner at the law firm Pillsbury Winthrop Shaw Pittman.

Levin

Retailer Saks has elected Jerry Levin to its board of directors. He will serve on both the audit and finance committees. Levin is currently chairman and chief executive officer of JW Levin Partners.

Polycom, a $682 million provider of videoconferencing software and equipment, has appointed Scott Mercer to its board of directors. Mercer will serve on the audit committee. Mercer is currently the chairman of the board at Adaptec and served as its interim CEO in 2005.

From the Vendors

The PCI Security Standards Council has appointed Rob Tourt, vice president of network services at Discover Financial Services, chairman of the Council. Tourt replaces Seana Pitt, vice president at American Express, who has led the organization since its inception in September 2006.

Resolver, a maker of corporate governance software, has released its latest product, Resolver Risk 4.0. Resolver Risk 4.0 provides high-level user interface by means of increased flexibility, personalized configuration, executive level reporting, and charting.
