Zegarowski

Greg Zegarowski, founder of Financial Leadership Corp., has been elected to the steering committee of XBRL U.S., which oversees development of the financial reporting technology in this country. Zegarowski has lectured in the United States and Europe on corporate sustainability and governance, Sarbanes-Oxley, and enhanced business reporting. He practiced as auditor with Deloitte & Touche and has served as the chief financial officer of an international medical equipment company.

General Counsels, Corporate Secretaries

$1.5 billion Kaiser Aluminum, based in Foothill Ranch, Calif., has promoted John Donnan to senior vice president in addition to his current roles as general counsel and secretary. In other news, the company named Lynton Rowsell vice president in addition to her current position as chief accounting officer.

Dow Jones & Co. has announced the departure of Joseph Stern from the positions of executive vice president, general counsel, corporate secretary, and as a member of the Dow Jones board. Stern’s departure is the result of the historic change in ownership by Dow Jones, which was recently acquired by News Corp. Stern will remain with the company through March 2008 to assist in the transition.

Richieri

The New York Times Co. promoted Kenneth Richieri to senior vice president in addition to his current role as general counsel. Richieri has served in various legal positions, including handling electronic publishing, intellectual property, and business issues since joining the company in 1983.

Susan Ham Martin has been appointed vice president, corporate secretary and associate general counsel of Wisconsin Energy Corp. Martin, who will assume the roles of Anne Klisurich, joined We Energies, the principal utility subsidiary of Wisconsin Energy, in March 2000 as an attorney and was appointed law director of We Generation in June 2006.

Accounting Officers and Controllers

Luc Gregoire was appointed senior vice president and corporate controller of The McGraw-Hill Cos. Prior to this appointment, Gregoire was chief accounting officer at Standard Motor Products since 2005.

$2.6 billion Schnitzer Steel Industries has promoted Jeff Poeschl to be chief accounting officer. Poeschl, who joined Schnitzer in February 2007 as corporate controller, replaces Richard Peach, who was promoted to chief financial officer.

Mueller Water Products, based in Atlanta, has promoted Evan Hart to vice president and controller. Hart joined the $1.9 billion company in September 2006 as vice president of financial planning and analysis.

Chief Compliance Officers, Risk Officers

Zurich Financial Services Group has appointed Axel Lehmann chief risk officer. Mike Foley will replace Lehman in his current role as chief executive officer of Zurich’s North America Commercial division.

On the Board

$4.2 billion Stanley Works has appointed Carlos Cardoso to serve on the compensation and corporate governance committees. Cardoso was elected to the board in October 2007.

$44 billion Medco Health Solutions has elected Myrtle Potter and William Roper as independent directors of its board. Potter, a 25-year veteran of the biotechnology and pharmaceutical industries who now runs a private consulting firm, will serve on the compensation committee. Roper, dean of the School of Medicine at the University of North Carolina at Chapel Hill, will serve on the corporate governance and nominating committee.

Lacy

Pharmaceutical company Bristol-Myers Squibb has appointed Alan Lacy to its board. Lacy is a senior adviser to private equity firm Oak Hill Capital Partners and was formerly chief executive and vice chairman of Sears Holdings Corp. He will serve as an independent director on Bristol Myers’ audit committee.

$8.8 billion Fortune Brands has elected Ann Fritz Hackett to its board of directors. Hackett is president of Horizon Consulting Group, a firm that provides business strategy, organizational, and human resources advice to global companies.

From the Vendors

Michael Rasmussen, a corporate governance analyst often cited in the trade press, has announced the launch of Corporate Integrity Corp. The consultancy service will advise clients on corporate operational strategies and technologies relating to the ever-changing demands of corporate governance, risk management, and compliance. Prior to founding Corporate Integrity, Rasmussen was a vice president and analyst at Forrester Research.
