Accounting Officers and Controllers

Time Warner Cable has promoted William Osbourn to senior vice president and controller. Osbourn joined the company in 2003 as vice president of technical accounting.

Newell Rubbermaid has promoted John Ellis to vice president, corporate controller, and chief accounting officer. Ellis most recently served as vice president of finance and accounting since joining the company in 2003. He assumes the roles of Rick Dillon, who has been promoted to vice president of business planning and analysis. Both appointments will be effective in February.

The Children’s Place Retail Stores has named Richard Paradise chief accounting officer. Paradise has also been named chief financial officer. Paradise most recently served as senior vice president of finance since joining the $2 billion company in November 2007.

$4.7 billion Jones Apparel Group has appointed Christopher Cade as executive vice president, chief accounting officer, and controller. Cade joins the Bristol, Pa.-based company from Realogy Corp. (formerly Cendant), where he served as senior vice president, chief accounting officer, and controller.

Worldwide industrial services company Harsco Corp. has promoted Richard Wagner to vice president and controller. Wagner joined Harsco in July 2007 and has been serving as assistant controller since that time. He succeeds Stephen Schnoor, who was promoted to senior vice president and chief financial officer.

General Counsels, Corporate Secretaries

Career Education Corp. has hired appointed Jeffrey Ayers as senior vice president, general counsel, and corporate secretary. In his new position, Ayers will replace Lawrence Levin, who served on an interim basis. Most recently, Ayers served as senior vice president, general counsel, and corporate secretary for NovaStar Financial, which recently ousted several top executives in the face of allegations over securities law violations by the Securities and Exchange Commission.

BB&T, a $9.5-billion banking company based in Winston-Salem, N.C., has appointed Frances Jones as general counsel, corporate secretary, and chief corporate governance officer. He succeeds Patricia Oliver, who is leaving it to pursue other business opportunities.

Iron Mountain, the Boston-based storage services giant, has hired Ernest Cloutier as senior vice president, general counsel, and secretary. Cloutier joins Iron Mountain from digital marketing and technology services company Digitas, where he served as senior vice president, general counsel and secretary.

Synovus Financial has announced the resignation of Sanders Griffith as general counsel, senior executive vice president, and secretary. Griffith will continue to serve as general counsel, senior executive vice president, and secretary of Total Systems Services after his resignation from Synovus.

On the Board

Wallenberg

Coca-Cola has elected Jacob Wallenberg to its board of directors. Wallenberg was appointed to the public issues and diversity review committee and the corporate governance committee. Wallenberg is chairman of $5.6 billion SEB, a Swedish financial group owned by his family. He also serves as chairman of the board of Investors AB, an industrial investment company in Scandinavia.

Tallman

$20.2 billion J.C. Penney Co. has announced the resignation of Ann Marie Tallman from its board due to health-related reasons. Tallman is the founder of Tallman Homes.

Atlanta-based Southern Co. has elected Jon Boscia and Warren Hood to its board of directors. Boscia is the recently retired chairman and chief executive officer of Lincoln Financial Group. Hood is chairman and CEO of Hood Companies.

Ameren, a $6.9 billion utility based in St. Louis, has elected Walter Galvin to its board of directors. Galvin is senior executive vice president and chief financial officer of Emerson Electric Co.

Harvey

$5 billion Allegheny Technologies Incorporated has elected Brett Harvey to its board of directors. Harvey, who is president and chief executive officer of $3.7 billion CONSOL Energy, will also serve on the nominating and governance committee.

BWise, a provider of governance, risk, and compliance software, announced that Kulicke & Soffa Industries, a supplier of semiconductor assembly equipment, tools and materials, has chosen BWise for its Sarbanes-Oxley compliance efforts. Control assessments will give K&S a more efficient way to conduct this necessary financial reporting with a thorough evaluation against fixed controls.

Paisley Consulting, a Minneapolis-based provider of governance, risk, compliance, and audit software, has announced the newest version of Paisley Enterprise GRC.
