Chief Risk, Compliance Officers

Conseco has promoted Timothy Bischof to vice president of enterprise risk management. Bischof, who joined the company in 2001, served previously as senior director of corporate actuarial, with responsibility for supporting the chief actuary in providing oversight of the company’s insurance businesses and planning leadership.

BlueCross BlueShield of Tennessee has promoted Judith Nelson to vice president and chief compliance officer. Nelson, who has been with BlueCross since 1990, most recently served as director of external audit and compliance.

Integrated Healthcare Holdings has named Edward Gyimah chief compliance officer. His main duties will be to oversee all areas of compliance with government regulation of its hospitals. Since 2006, Gyimah has worked as the director of internal audit.

Accounting Officers, Controllers

Sunstone Hotel Investors has announced that William Wagner will resign as senior vice president and chief accounting officer to take a position with another publicly traded real estate investment trust. Chief Financial Officer Kenneth Cruse will assume the chief accounting officer role, effective May 9.

General Counsels, Corporate Secretaries

Haynes

William Haynes, the controversial former general counsel of the Defense Department, has been hired as chief corporate counsel for oil giant Chevron. Haynes has repeatedly been criticized for his role in developing the Bush Administration’s detainee interrogation policies that critics claim amounted to torture. Haynes is scheduled to start his new post in early May.

The Conference Board has named Sophia Muirhead general counsel and corporate secretary. Muirhead joined the global business research and membership organization in 1998 and most recently served as associate director of research working groups in 2006.

$2.7 billion R.H. Donnelley, a print and online local search company, has appointed Mark Hianik general counsel and corporate secretary. Prior to joining the company, Hianik spent 10 years at Chicago-based Tribune Co., most recently as vice president and assistant general counsel. In his new role, he replaces Robert Bush, who has moved to an operational role within the company.

$254 million Point Blank Solutions has appointed Jennifer Coberly as general counsel. Before joining the protective body armor maker, Coberly most recently served as partner at the Miami office of Zuckerman Spaeder, a law firm based in Washington, D.C.

On the Board

$36 billion Best Buy Co. has named Mike Mikan to its board of directors. Mikan, who is an executive vice president and chief financial officer with UnitedHealth Group, has not yet been assigned to any committees.

Abney

$6 billion Allied Waste Industries has elected David Abney to its board of directors. He will also serve on the governance committee. Abney is currently chief operating officer for UPS.

$4 billion MasterCard Inc. has elected José Octavio Reyes Lagunes and Silvio Barzi to its board of directors. Reyes, who is president of the Latin America Group at Coca-Cola, will serve on the human resources and compensation committee. Barzi, who is executive vice president of UniCredit Group, will serve on the audit committee.

CA, a $4 billion software company, has elected Arthur Weinbach to its board of directors. He also has been named to the compensation and human resources committee. Weinbach currently serves as executive chairman of Broadridge Financial Solutions.

$1.1 billion Foamex International, a maker of flexible polyurethane and advanced polymer foam products, has elected David Lyon to its board of directors. Lyon is a vice president of D. E. Shaw & Co.

McMasters

Clifton Gunderson has named Krista McMasters as chief executive officer, making her the first woman to serve as CEO among the nation’s top 25 public accounting firms and only the fourth CEO in the firm’s 50-year history. McMasters, who has served 30 years with the firm, will assume the position from Carl George, who is retiring effective June 2009.

AmericanWest Bancorp, a $2 billion regional bank holding company, has selected BoardVantage to manage its board communications. AmericanWest will be using BoardVantage to streamline the preparation and distribution of its board materials and increase the efficiency of the corporate secretary’s office.

David Kettel has joined the law firm Venable as a partner in its Los Angeles office. Kettel was most recently an assistant U.S. attorney in the Central District of California and a member of the Organized Crime Drug Enforcement Task Force.
