General Counsels, Corporate Secretaries

Foran

Peggy Foran, previously associate general counsel at Pfizer and a pioneer in corporate governance reforms earlier this decade, has left the pharmaceutical giant to be general counsel at Sara Lee Corp. During Foran’s tenure, Pfizer won plaudits for introducing “the Pfizer model” of electing board directors, requiring director nominees who receive a majority of “withheld” votes to submit their resignation. Foran has also been a past chair of the American Bar Association’s committee on corporate governance

Schulman

Meanwhile, Pfizer has named Amy Schulman general counsel. Schulman, whose appointment is effective June 23, joins Pfizer from the law firm DLA Piper, where she was a partner and co-leader of the firm’s class-action practice. Schulman replaces Allen Waxman, who left the company in March for personal reasons.

$14 billion L-3 Communications Holdings has appointed Steven Post general counsel and corporate secretary. Previously, Post was the senior vice president of contracts and general counsel for L-3’s Integrated Systems division based in Greenville, Texas. He replaces Kathleen Karelis, who will lead L-3’s litigation and compliance activities as senior vice president based in Washington, D.C.

$631 million Ameron International Corp. has appointed Stephen Johnson corporate secretary and general counsel. Johnson was previously deputy general counsel and assistant secretary of Computer Sciences Corp. Johnson succeeds Javier Solis, who has retired after 26 years of service with the company.

$421 million Amcore Financial has appointed Guy Francesconi corporate secretary in addition to his current roles as executive vice president and general counsel. Francesconi replaces James Waddell, who recently announced his retirement.

$377.5 million Syniverse Technologies has named Laura Binion as general counsel, corporate secretary, and senior vice president. Binion succeeds Robert Garcia, who is leaving the company after 13 years of service. Binion, who has more than 25 years of experience in corporate legal affairs to Syniverse, most recently served as executive vice president and general counsel for CheckFree Corp. that was acquired in December 2007 by Fiserv.

Accounting Officers, Controllers

Molson Coors Brewing has appointed William Waters as chief accounting officer. Waters previously served as the chief financial officer of Coors Brewing Co., a subsidiary of the company, since 2006. He assumes the role from Martin Miller, who has resigned.

West

$1.5 billion Kaiser Aluminum, based in Foothill Ranch, Calif., has hired Neal West as vice president and chief accounting officer. West is currently corporate controller and chief accounting officer of Gateway. He will replace Lynton Rowsell, who is leaving to pursue another opportunity. Rowsell will continue his employment with Kaiser through June 27 to assist in the transition of his duties.

Linn Energy has appointed David Rottino as senior vice president and chief accounting officer. Rottino comes to the oil and gas company from El Paso Corp., where he was vice president and controller. He assumes the role from Lisa Anderson, who has resigned.

Bally Technologies has appointed Neil Davidson chief accounting officer. Davidson joined Bally in February 2006 as vice president of corporate accounting.

On the Board

Miami-based Burger King Holdings recently announced the resignations of several members of its board: David Bonderman of TPG Capital, Andrew Balson of Bain Capital Partners, and Adrian Jones of the Goldman Sachs Funds. The resignations, which follow the reduced ownership of the company by those three private equity funds, reduce the company’s board to 10 members. In addition, Burger King Non-executive Chairman Brian Swette has also resigned his position as board chairman, which will be filled by Burger King Chief Executive Officer John Chidsey, effective July 1.

$6 billion Wesco International has elected John Morgan to its board of directors. He will also serve on the audit committee. Morgan is currently the chairman, president, and chief executive officer of Zep, a specialty chemicals company.

Oshkosh Corp. has elected Craig Omtvedt to its board of directors. At the time of his election, Omtvedt was not appointed to any committee. Since 2000, Omtvedt has served as senior vice president and chief financial officer for $8.6 billion consumer products company Fortune Brands.
