Accounting Officers, Controllers

$14.1 billion Chubb Corp. has announced the retirement of Henry Schram as chief accounting officer. John Kennedy, who serves as deputy manager of Chubb’s accounting department, will assume his role. Schram will assist with the transition until he retires at the end of the year.

$11.7 billion Circuit City has announced the resignation of Philip Dunn as senior vice president, treasurer, and chief accounting officer, effective Oct. 18. Dunn has served 24 years with the company, serving as the top accounting officer since 1996. Controller Michelle Mosier will take on Dunn’s roles, in addition to her current positions.

PrivateBancorp has named Barbara Briick as controller and chief accounting officer. Briick joined PrivateBancorp from First Midwest Bancorp, where she most recently was senior vice president and controller. Briick replaces Paul Berley, who continues as PrivateBancorp’s treasurer.

General Counsels, Corporate Secretaries

Burgess

$5.7 billion Asbury Automotive Group has announced the resignation of General Counsel Lynne Burgess, effective “at some future date in 2009,” according to a company filing. Her departure comes after the New York-based company announced plans to move its headquarters to Atlanta.

Harman International Industries has hired Todd Suko as vice president, general counsel, and secretary. With nearly 15 years experience in private law practice and corporate legal affairs, Suko most recently served as vice president, general counsel, and secretary for UAP Holding Corp. and United Agri Products. He will succeed Edwin Summers, who has served as the company’s general counsel since 1998 and will remain with the company in a senior legal role.

Modine Manufacturing has announced the retirement of Dean Zakos as vice president, general counsel, and secretary. Zakos, who has been with the Racine, Wis.-based company for 26 years, plans to pursue his passion for aviation and other personal and professional interests. A successor will be named at a later date.

Chief Risk, Compliance Officers

Rosengarten

XL Capital Ltd. has appointed Jacob Rosengarten as executive vice president and chief enterprise risk officer of the XL group of companies. During his 30-year career, Rosengarten has held several leadership roles in risk management, including managing director of risk management and analytics for Goldman Sachs Asset Management for the past 10 years.

The Blackstone Group has named Gideon Berger as chief risk officer. Berger, who had led the London office since 2006, will return to New York to fill this position.

On the Board

$4 billion MasterCard has elected Jackson Tai to its board of directors. Tai is the former vice chairman and CEO of DBS Group and DBS Bank Ltd., where he served in several senior management roles, most recently as CEO from June 2002 until December 2007.

The board of directors of Pitney Bowes has elected Chief Executive Officer Murray Martin to become chairman, effective Jan. 1, 2009. Martin has been CEO since May 2007, and he will retain these responsibilities when this new appointment becomes effective. Martin assumes the post from Michael Critelli, who will retire as executive chairman and director at the end of the year.

Deloitte Financial Advisory Services has named Andy Ruckman as principal in its analytic and forensic technology group in Washington, D.C. Prior to joining Deloitte, Ruckman was a managing director for a consulting firm’s electronic discovery practice.

The NASDAQ OMX Group has selected Wolters Kluwer Financial Services to manage and publish NASDAQ OMX rules online. The service helps the securities community comply with Securities Exchange Commission requirements by developing a user-friendly, simple Web presentation of the new rules and latest rule changes.
