Phillips

The Public Company Accounting Oversight Board has named Laura Phillips and Jennifer Rand deputy chief auditors, reporting to Chief Auditor Tom Ray. Phillips—known to insiders as “The Mother Of Auditing Standard No. 2”—has been with the agency since 2003 and previously worked at Ernst & Young. Rand has also been at the PCAOB since 2003 and previously worked at the SEC Practice Section of the American Institute of Certified Public Accountants.

Executive Moves

Baumann

Martin Baumann, chief financial officer of Freddie Mac, resigned last week amid ongoing struggles to improve the mortgage-finance giant’s financial reporting. Baumann joined Freddie Mac in 2003, helping the company through a major earnings restatement. Chief Operating Officer Eugene McQuade will assume CFO duties until a permanent replacement is named.

Advertising and public relations conglomerate Interpublic, already in the midst of an accounting investigation, disclosed last week that Chief Accounting Officer Nicholas Cyprus has resigned. He will be replaced by Christopher Carroll, who joined Interpublic in 2005 as controller of its McCann Worldgroup subsidiary. Carroll previously held high-level finance jobs at Avaya Communications and Lucent Technologies.

Meyerson

Laureen Seeger has been appointed general counsel of healthcare technology and consulting business McKesson Corp. She will replace Ivan Meyerson, who previously announced plans to retire. Most recently Seeger had been general counsel of McKesson’s IT subsidiary, McKesson Provider Technologies.

Analogic Corp. , a maker of imaging equipment, has named Donald Melson as vice president and controller. Melson previously was controller at Millipore Corp. , and he replaces Michael Siraco, who will continue as Analogic’s vice president of finance.

Virginia-based United Dominion Realty Trust has promoted David Messenger to chief accounting officer. Messenger replaces Scott Shanaberger, who left for a chief financial officer job at another company. Messenger had been controller of United Dominion since 2002, and previously worked at TRC Management in Chicago.

Rosa

American Superconductor Corp. has promoted Thomas Rosa from vice president of finance and accounting to chief financial officer and treasurer. Rosa has worked as ASC in various financial jobs since 1992.

Luis Mostacero has rejoined Paradigm Medical Industries Inc. as vice president of finance, seven months after leaving the company last summer. Mostacero had been controller at Paradigm from June 2000 to August 2005. Since August he had been controller at Utah-based Distinctive Creations.

California-based McGrath RentCorp, a provider of modular classrooms and office space, has named Keith Pratt chief financial officer and David Whitney as principal accounting officer. Pratt previously worked at Advanced Fibre Communications; Whitney had been controller at McGrath since 2000. Current CFO Thomas Sauer will work part-time at McGrath until 2007 and then retire.

California biotech company SeraCare Life Sciences has fired a wave of top executives at the urging of its audit committee, which also found that the company’s recent financial statements are inaccurate. Shown the door were Barry Plost, chairman of the board of directors; Michael Crowley, chief executive officer; Jerry Burdick, secretary; and Craig Hooson, chief financial officer. Chief Operating Officer Thomas Lawlor will helm the company while the board searches for replacements, and an executive committee led by director Robert Cresci will oversee management.

Rhode Island-based pharmacy chain CVS Corp. ’s principal accounting officer and treasurer resigned their positions last week after the Securities and Exchange Commission launched an investigation into the company’s accounting for a 2000 transaction worth $42 million. CVS did not name the individuals, but said Chief Financial Officer David Rickard will act as principal accounting officer on an interim basis. The company also announced that David Dorman, former chief executive of AT&T, has joined CVS’ board of directors.

BDO Seidman has hired Joann Arweiler as a senior associate in the firm’s litigation and fraud investigation practice. Prior to joining BDO Seidman, Arweiler assisted in money laundering and due diligence investigations in the forensic and litigation services practice at KPMG.

Mortgage-services provider Ocwen Financial Corp. has hired David Gunter as chief financial officer. Most recently Gunter was senior vice president of corporate finance at Equifax, where he managed SEC reporting and Sarbanes-Oxley compliance.

Civil engineering business URS Corp. has promoted Thomas Hicks from vice president of finance to chief financial officer. He replaces Kent Ainsworth, who is retiring. URS also announced that General Counsel Joseph Masters has been named corporate secretary.

Carmike Cinemas in Georgia has appointed Richard Hare treasurer and chief financial officer. Hare previously was chief accounting officer and controller for Greenfuels Holding Corp. , and replaces Martin Durant, who is retiring.

On The Board

Wright Medical Group of Arlington, Tenn., has named director David Stevens to the company’s audit committee. He replaces Richard Emmitt, who had resigned and endangered Wright’s compliance with Nasdaq listing standards. Stevens’ appointment brings the company back into compliance.

Prince

Citigroup has elected Chief Executive Officer Charles Prince to the additional post of chairman, effective next month. He replaces Sanford Weill, who will retire as a Citigroup director after nearly 20 years at the banking giant or its predecessor companies.

Allan Rothwell and Timothy Snider have been named to the board of directors of Compass Minerals International of Overland, Kans. Rothwell, executive vice president of Eastman Chemical, will serve on Compass’ nominating and governance committee. Snider is chief operating officer of Phelps Dodge Corp. , and he will serve on the compensation and environment, health and safety committees.

In Redmond, Wash., Claudio Ruben resigned from Microvision’s board of directors and audit committee citing personal reasons.

New York & Co. , a specialty apparel chain with 521 stores, appointed Edward Moneypenny to its board of directors and audit committee. Moneypenny most recently served as chief financial officer of 7-Eleven.
