Scates

The Public Company Accounting Oversight Board recently named Gregory Scates deputy chief auditor. Scates played a substantial role in developing PCAOB Auditing Standards Nos. 1 and 3, which deal with reporting on audits in accordance with the standards of the PCAOB and audit documentation. He also has developed staff guidance on technical auditing matters and led various current standards-setting projects. He replaces Laura Phillips, who is leaving the PCAOB.

Chief Accounting Officers, Controllers

Quiksilver, a sportswear maker in Huntington Beach, Calif., has named Brad Holman vice president of accounting and financial reporting and principal accounting officer. Previously, Holman served as director of financial reporting since joining the company in December 2004.

Schaumburg, Ill.-based Motorola named Marc Rothman senior vice president of finance and corporate controller. He replaces Steven Strobel, who has been appointed to senior vice president of finance and treasurer.

Acme Communications announced the unexpected death of the company’s vice president and controller, Ed Danduran. Danduran, who died of natural causes, was controller since the company’s inception in 1997.

Almost Family, a Louisville, Ky.-based company that provides home-health services, has named John Walker vice president and chief accounting officer. Walker was president of American Pipe Lining-MidAmerica until the company’s sale earlier this year.

Roseland, N.J.-based Automatic Data Processing has appointed Alan Sheiness corporate controller and principal accounting officer. Sheiness joined the company in 1984, most recently serving as president of ES Small Business Services prior to his promotion.

Financial Industries of Austin, Texas, has named John D’Amato director of internal audit. D’Amato brings more than 17 years of experience in the insurance and insurance-regulatory fields. He most recently served as a director in KPMG’s forensic advisory practice.

Milwaukee-based Actuant has promoted Timothy Teske from assistant corporate controller to corporate controller and principal accounting officer. Chadwick DeLuka replaces him as assistant controller.

General Counsels, Corporate Secretaries

Manufacturing giant 3M has named Marschall Smith senior vice president of legal affairs and general counsel, replacing Richard Ziegler, who is retiring. Smith was most recently vice president, general counsel, and secretary of boat maker Brunswick Corp.

In Bridgewater, N.J., Alpharma has appointed Thomas Spellman chief legal officer and corporate secretary. He replaces Robert Wrobel, who is retiring. Spellman most recently worked as assistant general counsel to Johnson & Johnson.

Argonaut Group, a national underwriter of specialty insurance products based in San Antonio, announced that Ronald Given has been named general counsel. Given succeeds Byron LeFlore, who has been appointed to the newly created role of executive counsel. Given joins Argonaut Group after 29 years with Mayer Brown Rowe & Maw, where he had been partner since 1985.

The California Independent System Operator has appointed Nancy Saracino to lead its legal and regulatory division as general counsel and corporate secretary. Currently chief deputy director of the California Department of Water Resources, Saracino acted as chief counsel to the department and negotiated power contracts during the 2001 energy crisis.

Ferro Corp., a Cleveland-based electronic material systems maker, has named Amy McGann assistant general counsel and assistant secretary. McGann was formerly corporate counsel for American Greetings Corp.

Other Officers

Germeroth

San Jose, Calif.-based power company Calpine has named Gary Germeroth executive vice president and chief risk officer. Germeroth brings to Calpine more than 26 years of experience in energy strategy and risk management. He most recently worked for PA Consulting Group and its predecessor firm, Hagler Bailly Risk Advisers.

In Indianapolis, health insurer WellPoint has announced the resignation of Chief Financial Officer David Colby for inappropriate conduct; Colby allegedly had several extramarital affairs. The board has appointed senior vice president and chief accounting officer Wayne DeVeydt to replace him.

On The Board

Denver-based Venoco has elected M.W. Scoggins and Richard Walker to its board of directors. Scoggins will serve on the board’s corporate governance and nominating committee, Walker on the audit committee.

New Haven, Conn.-based Achillion Pharmaceuticals has elected Robert Van Nostrand to its board of directors and appointed him to the audit committee. Nostrand is former chief compliance officer of OSI Pharmaceuticals.

MetricStream, a Redwood Shores, Calif.-based, maker of governance, risk and compliance management software, has announced that Pharmaxis, an Australia-based global pharmaceutical company, has implemented with MetricStream’s GRC solution. The MetricStream software will serve as an enterprise-wide risk and internal controls platform for Pharmaxis, enabling financial compliance with SOX Section 404.
