General Counsels, Corporate Secretaries

Pillmore

Eric Pillmore, head of corporate governance at manufacturing conglomerate Tyco International, is leaving the company after five years on the job. The news comes as Tyco completes the spin-off of its electronics and health care businesses. Corporate Secretary John Jenkins will assume responsibility of the company’s governance function.

Houston-based eCORP announced that John Bellinger joined the company on June 1, 2007 as general counsel. Bellinger brings more than 25 years of experience in the energy-related legal field, most recently serving as managing counsel at Calpine Corp.

Consumer electronics and gadget retailer Sharper Image has appointed James Sander as its new general counsel, effective immediately. Sander previously worked at private law firm Holsworth Sander and Associates.

Noa

German engineering giant Siemens AG, plagued by a bribery scandal, has announced the resignation of Daniel Noa as chief compliance officer. Noa will serve the company as a consultant until the end of 2008. Paul Hobeck, who heads the company’s legal department, will replace him until a successor has been named.

Bridgeport, W.Va.-based Petroleum Development Corp. has appointed Daniel Amidon to general counsel. Amidon has more than 20 years of experience working with public and private companies, most recently serving as vice president of law with Wheeling-Pittsburgh Steel Corp.

Aronowitz

Scotts Miracle-Gro, a maker of consumer lawn and garden products based in Marysville, Ohio, announced the departure of General Counsel and Corporate Secretary David Aronowitz. The departure was not related to Scotts’ performance or concerns about its financial controls or legal strategy.

Allied Waste Industries has appointed Michael Rissman deputy general counsel. Rissman joined Allied Waste from the law firm Mayer, Brown, Rowe & Maw. The company also appointed Catharine Ellingsen deputy general counsel; she joined Allied Waste in 2001.

Novato, Calif.-based Allianz of America has named Gary Cohen deputy general counsel. Cohen previously worked for four years as deputy commissioner and general counsel to the California Department of Insurance.

Chief Accounting Officers, Controllers

AES Corp. has appointed Mary Wood vice president and controller. Wood brings with her more than 25 years of accounting experience to the power company, most recently serving as a partner at executive services and consulting firm Tatum.

Carnival Corp. has named Larry Freedman chief accounting officer. Freedman, who had been vice president of finance and controller, has been with Carnival since April 1998.

Children’s book publisher Scholastic Corp. named Robert Jackson chief accounting officer. He replaces Maureen O'Connell, who remains executive vice president, chief administrative officer, and chief financial officer. Jackson was previously chief financial officer and vice president of finance at Marcal Paper Mills.

Mountain View, Calif.-based VeriSign has appointed Albert Clement chief accounting officer. Clement has served as VeriSign’s senior vice president of finance and controller since January 2001.

San Francisco-based Renovis, a biopharmaceutical company, has promoted Jeffrey Farrow to chief accounting officer and George Fraley to vice president of legal affairs. Fraley will also retain his current title as associate general counsel. In other news, the company announced the resignation of Chief Financial Officer John Doyle.

Board Of Directors

Schwartz

Stage Stores has appointed David Schwartz to its board as an independent director and as a member of the corporate governance and nominating committee. He will also chair the Houston-based retailer’s audit committee.

Cleveland-based Ferro Corp. has elected Richard Hipple to its board of directors and as a member of the board’s finance committee. The election increases the number of members of Ferro’s board to 10.

The board of directors of McClean, Va.-based Sunrise Senior Living has appointed Stephen Harlan as a director of the company and as a member of the board’s audit committee. Harlan’s appointment expands the board size from seven to eight members.

Moffett

San Jose, Calif.-based eBay announced the appointment of David Moffett, former vice chairman and CFO of U.S. Bancorp, to its board of directors. He will serve on the audit committee.

Batesville, Ind.-based Hillenbrand Industries elected Ronald Malone, Jose Mejia, and Patrick Ryan to its board of directors. Malone and Ryan have been appointed to the compensation and management development committee, Mejia to the audit committee.

Accounting firm BDO Seidman has appointed Carl Pergola as the executive director of BDO Consulting’s New York office. Pergola formerly headed the firm’s litigation and fraud investigation practice.

Ferguson

In Washington, D.C., the law firm Gibson, Dunn & Crutcher has announced that Lewis Ferguson has joined the firm as partner. Ferguson was the first general counsel of the Public Company Accounting Oversight Board.
