In The Executive Suite

Semiconductor maker Analog Devices has appointed William Wise to the newly created position of chief compliance and business ethics officer. Wise has been with Analog for 18 years and created the company’s compliance program. Analog also named Margaret Seif to the newly created position of vice president, general counsel and corporate secretary. Seif previously was general counsel at RSA Security.

Harker

Electric utility AES Corp. has hired Victoria Harker to be chief financial officer. AES announced the news one day after a restatement of earnings and a disclosure of internal control weaknesses. Harker will replace Barry Sharp, who resigned at the end of last year. Harker joins AES from MCI Corp. , where she was senior vice president and treasurer. Venoco, an energy exploration company in California, has hired Douglas Griggs as chief accounting officer. Griggs previously spent much of his career as a CPA working at Ernst & Young. [Click here for the 8-K on Griggs' hire]

Pall Corp., a maker of filtration equipment, has promoted chief accounting officer Lisa McDermott to be treasurer and chief financial officer of the $1.9 billion company. She assumes the role from Pall president Marcus Wilson, who had been overseeing financial responsibilities. [Click here for related 8-K]

Rentech named Geoffrey Flagg its chief accounting officer last week. Flagg had been Rentech’s chief financial officer for the last two years. Kevin Smith, formerly at Edison Mission Energy Co. , will take over Flagg’s duties as chief financial officer. [(Click here for related 8-K]

Kaiser Aluminum Corp. in California announced last week that Chief Financial Officer Kerry Shiba resigned “based on a personal relationship with another employee the company determined to be inappropriate.” The company did not elaborate on the relationship, but said the resignation is not related to Kaiser’s financial reporting or internal controls. Shiba’s duties will be divided among Chief Executive Jack Hockema, Controller Daniel Maddox and Vice President Daniel Rinkenberger until a replacement is hired. [Click here for related 8-K]

On The Board

Schipper

Katherine Schipper will not seek another term on the Financial Accounting Standards Board when her current term expires at the end of June. Schipper has served on the board since September 2001, and previously was an accounting professor at Duke University's Fuqua School of Business. FASB is currently seeking nominations for a new board member.

Unisys Corp. has appointed Henry “Ric” Duques as non-executive chairman. Duques has been a member of the Unisys board of directors since 1998, and replaces Lawrence Weinbach, who retires this week. [Click here to view the phantom stock units granted to Duques]

Kent Roberts, executive vice president and general counsel of security software maker McAfee, has been elected chairman of the Business Software Alliance. Roberts will lead BSA's board in guiding the organization's public policy initiatives, anti-piracy efforts and education programs.

New Products & Customers

AXS-One has added LotusNotes functionality into its records-management software. The enhancements were showcased at Lotusphere 2006 and will be available in both the AXS-One Compliance Platform and the Sun Compliance and Content Management Solution.

Clark

Financial software maker Movaris has named Theresa Clark vice president of “finance transformation.” Clark previously worked at DecisionPoint Software in various sales and marketing initiatives.

Countrywide Financial Corp. has selected Akonix Systems to provide security for Countrywide’s instant-messaging. Akonix will manage Countrywide’s Lotus Sametime IM network and help the company interact with public IM applications such as GoogleTalk.

Syntex Management Systems, a provider of enterprise risk management software, says Premium Drilling will implement its IMPACT Enterprise to manage operational risks for Premuim’s health, safety and environmental concerns.

Global manufacturing giant Siemens AG has used ARIS Audit Manager software from IDS Scheer to conduct financial auditing for Sarbanes-Oxley compliance. The audit spanned 120 Siemens business units in 40 countries, and IDS consultants helped Siemens develop a system for deficiency reporting, IDS says.
