ELT and EthicsPoint, both providers of ethics and compliance training and related services, and Global Compliance Services, a provider of corporate compliance solutions, have announced their intent to merge. The newly combined organization will be a portfolio company of private equity firm Riverside Co.

Spokesmen for EthicsPoint said the new organization has not yet decided what its new name will be, nor where company headquarters will be located. But EthicsPoint CEO Mark Reed will be chief executive of the new company, and Reed currently works in EthicsPoint's headquarters in Portland, Oreg.

Riverside first invested in ELT in December 2010, and ELT then acquired Global Compliance Services in December 2011. Separately, ELT and Riverside entered into a definitive purchase agreement to acquire EthicsPoint at the end of January 2012. The combined entity intends to deliver a unified platform that provides clients with more end-to-end services and software.

Solutions include:

Whistleblower hotlines;

Advanced case management;

Reporting and analytics;

Robust online training and awareness programs;

Expert advisory consulting;

Performance benchmarking;

Data privacy; and

Third-party risk analysis.

The merger is anticipated to close at the end of February. Terms of the deal were not disclosed.
